
Racey Cohn has over 20 years experience as both in-house and outside counsel providing deal structuring and other business advice and guidance to major financial institutions. Ms. Cohn has reviewed, drafted and negotiated documentation for multi-million dollar loan transactions including factoring contracts, asset based lending agreements, license agreements, asset and stock purchase agreements, forbearance agreements, cash collateral and stock pledge agreements and corporate, limited liability company and partnership agreements.
After graduating magna cum laude from law school, Ms. Cohn served as a federal judicial clerk to the Honorable A. Andrew Hauk, Senior Judge Emeritus of the United States District Court, Central District of California. Ms. Cohn was also an attorney hearing examiner for the Equal Employment Opportunity Commission where she conducted hearings and wrote advisory opinions relating to federal employment discrimination cases.
Ms. Cohn served as a co-chairperson for numerous fundraising events for the Cystic Fibrosis Foundation.
